Home Row Digital LLC - Terms of Service

Welcome to Home Row Digital LLC (“Company,” “we,” “our,” or “us”). These Terms govern your use of our website (homerowdigital.com) and our professional services. By accessing our site or engaging our services, you agree to be bound by these Terms.

  1. Scope of Services

    We provide services under two primary models:

    • Custom Projects: Bespoke development where a final deliverable is handed over to the Client for their independent hosting and use.
    • Hosted & Multi-Tenant Services: Access to a managed software environment or platform maintained by the Company on a subscription or retainer basis. All work is defined by your specific Statement of Work (SOW) or Service Agreement.
  2. Access & Subscriptions (For Hosted/SaaS Services)

    • Grant of Access: For hosted services, we grant you a non-exclusive, non-transferable right to access the platform. This is aservice subscription, not a software license.
    • Multi-Tenant Environment: You acknowledge that the service is provided via a multi-tenant architecture. We implement industry-standard data isolation, but you acknowledge that shared infrastructure is used to maintain performance.
    • Platform Integrity: You may not attempt to reverse engineer the platform, circumvent tenant isolation, or access data belonging to other users.
  3. Billing and Payments (Stripe Compliance)

    • Payment Processing: All payments are processed securely through Stripe or Elevon. By providing payment information, you authorize us to charge all fees incurred to your selected payment method.
    • Setup Fees: Any initial onboarding or setup fees are one-time charges and are non-refundable once work has commenced.
    • Retainers/Subscriptions: Monthly fees are billed in advance. You may cancel your subscription at any time; however, cancellations take effect at the end of the current billing cycle. We do not provide pro-rated refunds for partial months.
    • Late Payments: We reserve the right to suspend or terminate access to hosted services or API integrations if payments are more than seven (7) days overdue.
  4. Intellectual Property & Ownership

    • Client Deliverables: Upon full payment for Custom Projects, the specific custom frontend code and assets created uniquely for you become your property.
    • Company IP: Home Row Digital LLC retains all rights, titles, and interests in our pre-existing software modules, ui libraries, internal frameworks, multi-tenant architecture, and proprietary methodologies.
    • Limited License: We grant you a non-exclusive, perpetual license to use these elements only as integrated into your specific project. For hosted services, your right to use our proprietary platform ends upon termination of your subscription.
  5. Client Responsibilities & Compliance

    • Accurate Information: You agree to provide accurate business information (including EIN and IRS CP-575 or 147C documentation) for carrier registration.
    • Communication Compliance: You are solely responsible for ensuring your communication practices comply with the TCPA and all relevant SMS regulations.
    • Privacy Policy Requirement: You agree to maintain a Privacy Policy on your own website that discloses to your leads how their mobile information is collected and used, as required by carrier 10DLC regulations.
    • Content: You represent that you own or have the rights to all content and data you provide to us for use in your project.
  6. SMS & Messaging Compliance (A2P 10DLC)

    • Consent and Opt-In: By using our Messaging Services, you represent and warrant that you have obtained clear, express written consent from each recipient before sending any SMS or MMS messages. You must maintain records of this consent as required by the TCPA.
    • Program Description: Home Row Digital LLC provides automated lead engagement, missed call text-back, and two-way conversational SMS services.
    • Opt-Out Mechanisms: All automated messages sent through our platform will include instructions for recipients to opt-out. Users may reply STOP, END, CANCEL, UNSUBSCRIBE, or QUIT to cancel at any time.
    • Support: Users may reply HELP for assistance or contact us at the email address listed in Section 13.
    • Messaging Rates: Message frequency varies based on user interaction. Standard message and data rates may apply.
    • Prohibited Content (SHAFT): You are strictly prohibited from using our services to transmit content related to Sex, Hate, Alcohol, Firearms, or Tobacco (including Vaping/CBD), or any content that is illegal or violates carrier guidelines.
  7. Third-Party Integrations (Google Business Profile & Chat)

    • Authorization: By connecting your Google Business Profile or Google Workspace account, you grant us permission to access, manage, and post content (such as review responses) on your behalf as directed through the platform interface.
    • Limited Use: Our use and transfer to any other app of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.
    • Accuracy of Managed Content: While our AI tools suggest responses for your Google reviews, you are the final arbiter of all public-facing content. We are not liable for any impact on your Google Business Profile standing resulting from the use of our automated tools.
  8. AI Disclaimer & Limitation of Liability

    • AI Output:While we implement state-of-the-art AI tools, you acknowledge that AI-generated content can occasionally be inaccurate or "hallucinate." You are responsible for reviewing AI-driven outputs before they are used in mission-critical business operations.
    • No Warranty:Services are provided "as is" without warranties of any kind. We do not guarantee that services will be uninterrupted or error-free.
    • Liability Cap: To the maximum extent permitted by law, Home Row Digital LLC’s total liability for any claim arising out of these Terms shall not exceed the total amount paid by you to the Company during the six (6) months preceding the claim.
  9. Termination of Services

    Either party may terminate a service agreement with thirty (30) days' written notice. We reserve the right to suspend or terminate access to services (including API integrations and hosting) immediately if payments are overdue, if you violate tenant isolation policies, or if these Terms are violated.

  10. Service Availability & Maintenance

    • Uptime: We strive for 99.9% uptime but do not guarantee uninterrupted service. Availability is subject to the performance of our third-party infrastructure providers (e.g., Supabase, Vercel, DigitalOcean, Hetzner).
    • Maintenance:We may occasionally suspend access for planned maintenance. We will provide at least 24 hours' notice for non-emergency maintenance whenever possible.
  11. Governing Law

    These Terms are governed by the laws of the State of Arizona. Any legal action shall be brought exclusively in the courts located in Pima County, Arizona.
